Cousins taps debt markets to refinance borrowings tied to Charlotte trophy office
Cousins Properties is pricing $500 million of 4.875% senior unsecured notes due 2033 to refinance borrowings linked to its recent acquisition of 300 South Tryon, the Atlanta-based REIT says. The notes are offered by operating partnership Cousins Properties LP and are priced at 99.259% of par, with the issuance expected to close on Feb. 20, 2026 subject to customary closing conditions. Cousins provides an unconditional senior unsecured guarantee of the debt.
The company intends to use net proceeds to repay a portion of borrowings under its credit facility that were partially incurred to acquire 300 South Tryon, a 638,000-square-foot trophy “lifestyle” office property in Charlotte, North Carolina. Any remaining proceeds are available for working capital, capital expenditures and other general corporate purposes, which may include repayment of other outstanding indebtedness, including a portion of its term loan. J.P. Morgan, BofA Securities, Morgan Stanley and PNC Capital Markets are acting as joint book‑running managers on the offering.
Cousins emphasizes that the offering is made from an effective shelf registration statement filed with the U.S. Securities and Exchange Commission and will be conducted only by means of a prospectus supplement and accompanying prospectus.
