Howmet prices $1.2 billion in notes to fund proposed CAM takeover
Howmet Aerospace is selling $1.2 billion of notes to help finance its proposed $1.8 billion acquisition of Consolidated Aerospace Manufacturing LLC (CAM), the company announces. The offering comprises $400 million of 3.750% notes due 2028, $300 million of 3.900% notes due 2029 and $500 million of 4.750% notes due 2036, and is expected to close on March 3, 2026, subject to customary conditions. Howmet says it plans to combine the net proceeds with $600 million of borrowings under its commercial paper program or other debt facilities and cash on hand to fund the purchase price.
Underwriters Citigroup, Goldman Sachs, J.P. Morgan and SMBC Nikko are acting as joint book-running managers, and the notes are being offered under a previously filed shelf registration and a preliminary prospectus supplement. Howmet notes that the press release does not constitute an offer to sell the securities and that the offering is being made only by means of the prospectus supplement and related documentation. The financing move follows Howmet’s positioning as a leading supplier of advanced engineered solutions to aerospace and transportation customers, and the company frames the transaction as a step to expand its manufacturing capabilities and product mix.
