CenterWell deepens Florida presence with MaxHealth purchase
CenterWell, the healthcare services arm of Humana Inc., completes its acquisition of MaxHealth on Feb. 13, 2026, in a deal that affiliates the Florida primary care group with CenterWell Senior Primary Care. The transaction, announced from Louisville, Tampa and New York via a joint PR Newswire release, transfers ownership from Arsenal Capital Partners and MaxHealth’s founder-shareholders. CenterWell positions the move as an expansion into West and South Florida to extend its personalized, integrated care model for seniors.
MaxHealth brings a network of 82 owned and affiliated clinics to the CenterWell platform, including 54 owned primary care sites, four specialty or ancillary clinics and 24 downstream affiliates. The organization serves more than 120,000 patients, of whom over 80,000 participate in value-based care programs. Financial terms of the acquisition are not disclosed. CenterWell frames the addition as a way to reach more patients with its senior-focused, value-based primary care approach and to scale services in key markets where MaxHealth already has patient relationships.
The companies say the integration centers on provider alignment, patient access and measurement-driven outcomes as they scale care for seniors. CenterWell President Sanjay Shetty, M.D., welcomes MaxHealth clinicians and staff, calling the group patient-centered and results-driven and saying its values align with CenterWell’s mission to simplify the healthcare experience. MaxHealth co-founder Kimberly Ficocelli highlights the group’s physician-founded origins, disciplined growth under Arsenal and optimism about continuing impact on Florida communities under CenterWell stewardship.
Strategic implications for Humana’s value-based network
The deal reinforces Humana’s broader strategy to grow CenterWell as the nation’s largest senior-focused, value-based primary care provider. By adding a sizable, established network in Florida, Humana gains greater geographic reach and additional patients already enrolled in value-based arrangements, which the company says will support care coordination and measurement-based performance across its senior population.
Private equity role and near-term integration steps
Arsenal Capital Partners is credited with scaling MaxHealth prior to the sale and is described as focused on building market-leading healthcare companies. The parties say the integration will prioritize aligning providers, expanding patient access and tracking outcomes as MaxHealth transitions into CenterWell Senior Primary Care, with operational details to follow as the organizations combine systems and care pathways.
