Louisville, Ky./Tampa, Fla./New York — CenterWell, the healthcare services division of Humana Inc., completes the acquisition of Florida-based primary care operator MaxHealth, broadening its senior-focused, value-based care footprint in West and South Florida. The deal transfers ownership and affiliates MaxHealth with CenterWell Senior Primary Care, the nation’s largest provider of value-based primary care for seniors, and will allow CenterWell to scale its integrated care model for additional Medicare and at-risk populations. Financial terms are not disclosed.
The move strengthens CenterWell’s ability to deliver personalized, coordinated care to a larger patient population by bringing MaxHealth’s clinician network and local infrastructure into Humana’s senior-primary-care platform. CenterWell is positioning the acquisition to expand access to its team-based approach, care coordination and value-based contracting, which are central to its strategy of improving outcomes while managing costs for aging patients. Company leaders say the integration targets markets where MaxHealth already has established patient relationships and operational capacity.

MaxHealth co-founder Kimberly Ficocelli highlights the company’s physician-founded origins and disciplined growth under private equity partner Arsenal Capital Partners, noting optimism about continuing to reshape care delivery across Florida under CenterWell’s stewardship. Arsenal, which helped scale MaxHealth, is described by the parties as focused on building market-leading industrial growth and healthcare companies.

MaxHealth operates 82 owned and affiliated clinics in West and South Florida, including 54 owned primary care clinics, four owned specialty/ancillary clinics and 24 downstream affiliate clinics. The organization serves more than 120,000 patients, with over 80,000 participating in value-based care programs, figures that underscore the acquisition’s potential to accelerate enrollment in senior-focused, risk-bearing care models.
