- enCore aims to contribute to clean energy solutions while progressing on future projects in South Dakota and Wyoming.
enCore Energy Strengthens Position in Uranium Sector with Strategic Asset Sale
In a significant strategic move, enCore Energy Corp. has successfully completed the sale of its subsidiary that encompasses key uranium projects in New Mexico to Verdera Energy Corp. This transaction, finalized on April 9, 2025, involves enCore receiving 50 million non-voting preferred shares of Verdera, representing approximately 73% of the company’s fully diluted shares. The deal also includes a 2% royalty on uranium and other minerals extracted from the properties, along with an immediate cash payment of $350,000. This strategic divestiture reflects enCore's commitment to optimizing its asset portfolio while positioning itself favorably within the uranium market.
The sale of the Crownpoint, Hosta Butte, Nose Rock, West Largo, and Ambrosia Lake – Treeline projects is part of enCore's broader strategy to focus on its core operations, particularly its In-Situ Recovery (ISR) uranium projects. With established operations in South Texas, the company aims to leverage its expertise in ISR technology to further enhance its production capabilities. The transaction with Verdera not only provides immediate financial benefits but also aligns with enCore's long-term vision of contributing to the clean energy sector through sustainable nuclear fuel production.
Furthermore, enCore's side letter agreement with Verdera allows for the latter to pursue a public listing, signifying a potential influx of capital for both entities. Upon Verdera's listing on a Canadian exchange, enCore can convert 35 million of the preferred shares into common shares, thus allowing for a broader distribution to its shareholders. This strategic alignment underscores enCore's commitment to fostering partnerships that enhance its operational viability and promote sustainable energy solutions in the nuclear sector.
In addition to its recent transaction, enCore Energy continues to progress on its future projects, including the Dewey-Burdock initiative in South Dakota and the Gas Hills project in Wyoming. The company emphasizes collaboration with local communities and indigenous governments, ensuring its developments have a positive impact on the regions in which it operates. As enCore refines its focus on uranium production, it remains dedicated to delivering clean, reliable energy solutions while navigating the evolving landscape of the energy sector.
