Enstar Group is acquiring AF Group from Blue Cross Blue Shield of Michigan in a deal that places the national workers’ compensation and specialty commercial insurer under Enstar’s operating umbrella while keeping it largely autonomous. Announced on Feb. 13, the definitive agreement makes AF Group a wholly owned subsidiary of Enstar, which is backed by investment vehicles managed by affiliates of Sixth Street. AF Group is expected to retain its Lansing headquarters and continue serving customers nationwide as the parties await customary regulatory approvals and closing conditions.
The move is aimed squarely at strengthening Enstar’s U.S. commercial lines footprint, particularly in workers’ compensation where AF Group has established claims and risk management capabilities. Enstar, which reports more than $22 billion in assets and over 30 years in insurance and reinsurance operations, intends to leverage its scale, underwriting expertise and network to support AF Group’s continued growth and operational stability. Company officials present the deal as preserving AF’s underwriting approach and claims outcomes while providing access to broader capital and strategic resources.
