This initiative, involving 233,603 RSUs and 50,349 stock options, is part of the company’s 2023 Employment Inducement Incentive Award Plan. Designed specifically for individuals who are new to the company or those returning after a bona fide non-employment period, this plan adheres to the Nasdaq Listing Rule 5635(c)(4), highlighting Guardant’s commitment to attracting top talent in the competitive oncology landscape.
The RSUs awarded will vest annually, with one-third of the shares becoming available on each anniversary of the commencement date, contingent upon the employee's continued employment. This structured vesting schedule aims to retain skilled professionals and align their interests with the long-term goals of the company. The non-qualified stock options come with an exercise price set at $28.16 per share, reflecting the closing price of Guardant's stock on the Nasdaq Global Select Market on the grant date. The stock options will also follow a staggered vesting approach, with one-third vesting after one year and the remainder vesting monthly over the subsequent 24 months.
