The transaction involves a multi-step process where a subsidiary of Needham, 1828 MS Inc. (Merger Sub), will merge into Provident, followed by Provident merging into Needham. Subsequently, BankProv, a subsidiary of Provident, will merge into Needham Bank, leaving Needham Bank as the surviving entity.

The merger is set to streamline operations and broaden service offerings for both banks' customers. Following the merger's effective date, BankProv's services will transition to align with those of Needham Bank, which is anticipated to occur over the weekend following the merger.
