Sabre Corporation announces the successful completion of its debt exchange offers, a strategic move aimed at optimizing its capital structure and extending debt maturities. This effort, facilitated through its subsidiary Sabre GLBL Inc., involved an exchange of outstanding Senior Secured Notes, specifically targeting the 8.625% and 11.250% Notes due in 2027, as well as up to $379 million of 10.750% Notes due in 2029. The exchange offers, which expired on December 19, 2025, enable Sabre to consolidate its debt obligations and enhance its financial flexibility, a critical factor as the company navigates the evolving landscape of the travel technology sector.
The company successfully tendered a total of $960.9 million worth of existing notes, with $663.4 million accepted for exchange. A significant portion of the 8.625% and 11.250% Notes were validly tendered, with $240.2 million of the former and $44.3 million of the latter being accepted. In terms of consideration, holders of the 8.625% Notes received a combination of cash and new notes, specifically $755 in cash alongside $320 of new notes. Similarly, holders of the 11.250% Notes received the same cash consideration and new notes, while those holding the 10.750% Notes were offered $60 in cash and $1,000 in new notes. This arrangement not only provides immediate liquidity to the noteholders but also positions Sabre favorably for future growth.
