The strategic maneuver, finalized on December 22, 2025, is designed to optimize the company's capital structure and extend the maturity of its obligations. The exchange involved outstanding Senior Secured Notes, specifically focusing on the 8.625% and 11.250% Notes due in 2027, and aimed to replace them with new 10.750% Senior Secured Notes due in 2030. The exchange offers, which expired on December 19, 2025, successfully garnered significant participation from noteholders. According to data from D.F. King, the exchange agent, approximately $1.2 billion in outstanding notes were subject to the offers, with over $960 million effectively exchanged. Notably, $240.2 million of the 8.625% Notes and $44.3 million of the 11.250% Notes were accepted for exchange, alongside $379 million of the 10.750% Notes. In terms of financial consideration, the holders of the tendered notes received a combination of cash and new notes, reflecting a structured incentive for participation.
